1. Agreement to Terms

By accessing or using Prodtimize ("the Service", "we", "us", or "our") at https://prodtimize.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Prodtimize is a product optimization and content enrichment platform, powered by AI, that helps sellers, brands, agencies and distributors generate, audit and optimize product content for e-commerce platforms including Amazon, Shopify, eBay and Etsy.

3. Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account and password.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years old to use the Service.

4. Subscriptions & Billing

  • Paid plans are billed monthly or annually in advance.
  • All fees are non-refundable except as required by law or as stated in our refund policy.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.
  • Free plans are subject to usage limits as described on our pricing page.
  • Generation credits reset on the 1st of each calendar month and do not roll over.

5. Acceptable Use

You agree not to use the Service to:

  • Generate content that is false, misleading, defamatory, or fraudulent.
  • Violate any applicable laws or regulations.
  • Infringe on the intellectual property rights of others.
  • Attempt to reverse engineer, scrape, or extract data from the Service.
  • Use the Service to train competing AI models.
  • Share your account credentials with unauthorized third parties.
  • Circumvent usage limits or access controls.

6. AI-Generated Content

The Service uses artificial intelligence to generate product listings and content. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or omissions.
  • You are responsible for reviewing and verifying all AI-generated content before publishing.
  • We do not guarantee that AI-generated content will rank on any platform or achieve any specific results.
  • You own the content you generate using the Service, subject to these Terms.
  • We may use anonymized usage data to improve the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Prodtimize and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you upload to the Service (product data, images, PDFs). By uploading content, you grant us a limited license to process it for the purpose of providing the Service.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Service integrates with third-party services including Supabase, Stripe, Anthropic (Claude AI), and others. Your use of these integrations is subject to their respective terms of service. We are not responsible for the practices of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE, INCLUDING BUT NOT LIMITED TO SEARCH RANKINGS, SALES PERFORMANCE, OR PLATFORM COMPLIANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODTIMIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
